1. Acceptance of Terms

By accessing or using the website located at rileysalonresources.com (the "Site") or placing an order through the Site, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Site.

These Terms constitute a legally binding agreement between you ("Customer" or "you") and Riley Salon Resources ("Company," "we," or "us"). We reserve the right to update these Terms at any time. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

2. Professional Licensing Requirement

Riley Salon Resources is a business-to-business (B2B) supplier exclusively serving licensed salon professionals. By creating an account or placing an order, you represent and warrant that:

•       You hold a current, valid cosmetology, barbering, or other applicable professional license issued by the relevant state or local authority;

•       You are purchasing products for professional use and retail within a licensed salon, spa, or related professional establishment;

•       You will provide valid proof of licensure upon request, and your license remains active throughout your use of the Site;

 

We reserve the right to verify your professional credentials at any time. Orders placed by unlicensed individuals will be cancelled and refunded. Riley Salon Resources is not responsible for any consequences resulting from inaccurate licensing representations made by customers.

3. Eligibility and Account Registration

To place orders on the Site, you must register for a business account. You agree to:

•       Provide accurate, current, and complete business and licensing information during registration;

•       Maintain and promptly update your account details, including license renewal information;

•       Keep your login credentials confidential and notify us immediately of any unauthorized access;

•       Accept responsibility for all activity that occurs under your account.

 

We reserve the right to suspend or terminate accounts that violate these Terms or where licensure cannot be verified.

4. Products and Orders

Product Information

We make every effort to display accurate product descriptions, images, and specifications. However, we do not warrant that product descriptions or other content on the Site are error-free, complete, or current. Product availability is subject to change without notice.

Order Acceptance

Submission of an order constitutes an offer to purchase. Riley Salon Resources reserves the right to accept, decline, or cancel any order for any reason, including but not limited to: product unavailability, errors in pricing or product information, or inability to verify professional credentials. You will be notified and refunded promptly if your order is cancelled.

Pricing

All prices are listed in U.S. Dollars and are subject to change without notice. Prices do not include applicable taxes or shipping fees, which will be calculated and displayed at checkout. We are not responsible for typographical pricing errors and reserve the right to cancel orders placed at an incorrect price.

5. Payment

Payment is due at the time of purchase. We accept major credit cards and other payment methods as indicated at checkout. By submitting payment information, you represent that you are authorized to use the payment method provided. All transactions are processed through secure third-party payment processors.

Riley Salon Resources does not store full credit card numbers. Your payment information is governed by the privacy policies of the applicable payment processor.

6. Shipping and Delivery

We ship to addresses within the United States. Estimated shipping times are provided at checkout but are not guaranteed. Riley Salon Resources is not responsible for delays caused by carriers, customs, or other circumstances beyond our control.

Title and risk of loss for products pass to you upon delivery to the carrier. If a shipment is lost or damaged, please contact us promptly so we may assist with a carrier claim.

 

8. Prohibited Uses

You agree not to use the Site or its products for any unlawful or unauthorized purpose. Prohibited activities include but are not limited to:

•       Misrepresenting your professional licensure status or business information;

•       Purchasing products for unauthorized retail resale or distribution;

•       Using the Site in any way that violates applicable federal, state, or local laws or regulations;

•       Attempting to gain unauthorized access to any portion of the Site or its related systems;

•       Transmitting any harmful, fraudulent, or malicious content through the Site.

9. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, and product descriptions, is the property of Riley Salon Resources or its licensors and is protected by applicable copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, display, or create derivative works from any Site content without our prior written consent. Unauthorized use of our intellectual property may subject you to civil and criminal liability.

10. Disclaimer of Warranties

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RILEY SALON RESOURCES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PURCHASE OF PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE ORDER GIVING RISE TO SUCH CLAIM.

14. Governing Law and Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of the Site shall first be submitted to informal negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings conducted in the applicable state. Each party shall bear its own costs unless otherwise awarded by the arbitrator.
